Terms of Service

Confidella VA ("Company," "we," "us," or "our") provides professional business support, consulting, administrative, technology, operational, and virtual assistance services. By accessing our website or using our services, you agree to be bound by these Terms of Service.

1. Services

Confidella VA provides professional, non-clinical business support services, including administrative assistance, operational support, consulting, technology assistance, and related business services. We do not provide medical, legal, accounting, tax, or financial advice, nor do we make clinical, legal, or financial decisions on behalf of any client.

2. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information, maintaining all required licenses, permissions, certifications, and regulatory compliance applicable to their business, and ensuring that all delegated tasks, requests, and instructions are lawful, appropriate, and properly authorized.

3. Confidentiality & Privacy

Confidella VA is committed to protecting the confidentiality and security of client information. Where applicable, services are performed using privacy-aware administrative practices, including HIPAA-aware procedures when supporting healthcare-related clients. Confidential information shared with Confidella VA will be handled with reasonable care, discretion, and appropriate administrative, technical, and physical safeguards. Clients acknowledge that ultimate responsibility for regulatory compliance, including HIPAA compliance and other applicable legal obligations, remains with the client organization.

4. Payments & Billing

All fees are due as specified in the applicable service agreement, invoice, subscription, or at the time of purchase. Payments are processed securely through trusted third-party payment processors, including Stripe. Unless otherwise stated in a written agreement signed by both parties, all fees are non-refundable.

5. Intellectual Property

All templates, workflows, systems, documents, methodologies, processes, branding, designs, training materials, and original content created or provided by Confidella VA remain the exclusive intellectual property of Confidella VA unless otherwise agreed to in writing. Clients receive only the rights expressly granted under the applicable service agreement.

6. Limitation of Liability

To the fullest extent permitted by law, Confidella VA shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of its services. The total aggregate liability of Confidella VA for any claim arising out of or relating to these Terms or the services provided shall not exceed the total amount paid by the client for the applicable services during the service period giving rise to the claim.

7. Termination

Either party may terminate services in accordance with the applicable service agreement, subscription plan, or written contract. Upon termination, all outstanding balances become immediately due and payable. Any provisions that by their nature should survive termination, including confidentiality, intellectual property, payment obligations, and limitation of liability, shall remain in effect.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
